Paramount and Warner Bros. move on as Skydance
The takeover brings two major studios, streaming services and news networks under one American media company.
Paramount Skydance has completed its takeover of Warner Bros. Discovery. The combined company is called Skydance and includes Paramount+, HBO Max, CBS, CNN, Warner Bros. and Paramount Pictures.
Skydance announced the completion on Tuesday. This brings two of the oldest American film studios under one owner. Television companies, streaming services, sports rights and extensive film and series libraries will also now fall within the same group.
Associated Press describes the transaction as a takeover worth approximately 110 billion dollars, including debt. Skydance says Warner Bros. Discovery shareholders received 31.01666668 dollars per share in cash. Warner Bros. Discovery shares are no longer traded separately.
Skydance says the company is starting with two streaming services, but intends to bring them together into a single service in the longer term. The company has not yet published a fully developed public plan for the name, price or precise form of such a combined service. For Dutch viewers, it remains particularly uncertain what consequences the merger will have for HBO Max, Paramount+ and the availability of separate catalogues.
The new owner promises at least thirty cinema films a year and more than 180 television programmes and series. Skydance is also targeting at least 6 billion dollars in annual synergies within three years. These are corporate targets, not savings that have been achieved. Previous major media mergers often saw such targets accompanied by reorganisations, but Skydance has so far published no concrete global jobs plan.
The merger increases concentration in a sector in which a handful of concerns already control a large share of production, distribution and streaming. CBS News and CNN will also come under the same roof. This makes the takeover relevant not only to entertainment, but also to journalistic independence, distribution power and the bargaining position of creators and employees.
The company begins trading on the New York Stock Exchange under the ticker symbol SKYD. In the coming months, the integration of the companies, the future of the streaming services and the allocation of investment between films, series, sport and news will determine how far-reaching the merger is for audiences and staff.
