Meta plans to raise roughly $35 billion through new shares and convertible preference securities. The parent company of Facebook, Instagram and WhatsApp says it will use the money for general corporate purposes and to expand its AI infrastructure.
Meta announced on Monday that it is launching two offerings at the same time. The company is offering approximately $22.5 billion in ordinary shares and approximately $12.5 billion in securities that can later be converted into shares. Banks are handling the transactions.
Meta may also bring a share programme worth approximately $60 billion to the market in 2027. That programme has not yet been launched, and its size and terms have not been finalised. Meta stresses that there is no certainty the programme will go ahead exactly as proposed.
The financing is intended to support the huge investments Meta is planning in artificial intelligence. The company expects to spend $135 billion to $145 billion on capital projects this year, linking that spending to the expansion of its AI infrastructure. Meta says the investments should also support new AI products.
The new financing round is linked to the announced introduction of a new non-voting share class. According to Meta, that class is to exist from January 2027. Meta says the structure will give the company greater scope to raise capital without diluting the voting power of chief executive and founder Mark Zuckerberg to the same extent.
For investors, the operation represents a trade-off between growth financing and dilution. More capital could help Meta keep pace with the competition in AI, but new shares could reduce the interest represented by each existing share. The announcement also shows how much money major technology companies consider necessary to carry out their AI plans.
